Thank you for choosing Boombox Social as your partner agency. By accepting our quotation, you acknowledge and agree to the following terms:
- Scope: Boombox Social ("Agency") provides social media services as outlined in the quotation. Any additional services beyond the agreed scope will be quoted separately.
- Payments: Payments are due as indicated in the quotation. Late payments will incur a 3% penalty per month, compounding until fully settled.
- Duration: Services are provided for the contract period stated in the quotation.
- Permissions & Authorizations: The Client agrees to provide the Agency with all necessary access, permissions, and log-in credentials required to execute the services effectively. The Agency will maintain strict confidentiality and security regarding client accounts.
- Revisions & Approvals: The client is entitled to 3 rounds of revisions per deliverable per month. Additional revisions will be charged separately. All content requires client approval before publishing. Delays in approval may affect the quantity of the content published but should not affect Agency service fees.
- Meetings & Consultations. Each Client is entitled to (1) In-Person and (2) Online Meetings per month for consultation, alignment, and reporting updates. Excess meeting requests shall be charged as follows:
- In-person: PHP 1,000 per meeting
- Online: PHP 300 per meeting
- Ad Budget & Unused Credits: Ad Budget is credited directly to the client’s advertising account. Unused ad credits are non-refundable. If the Agency is no longer engaged, the client retains full access and control over the remaining ad credits.
- Ad Budget Allocation: The Ad Budget shall be allocated only on the agreed platform(s) as outlined in the quotation. Cross-platform allocation is not allowed without prior agreement. The Ad Budget is fixed based on the quotation, and decreases in the budget are not allowed.
- Ad Budget Top-up: If the Client wishes to increase the budget, a top-up is permitted and will be quoted separately. Any increase in the ad budget will require mutual approval.
- Agency Compliance: The Agency ensures that all content, ads, and strategies comply with the policies of social media and advertising platforms (e.g., Facebook, Instagram, Google, TikTok):
- The Agency will take reasonable steps to comply with platform guidelines and modify disapproved ads when necessary. However, we are not responsible for delays, suspensions, or restrictions imposed by the platform.
- The Agency adheres to ethical advertising practices and will not engage in deceptive or misleading promotions.
- The Client is responsible for the accuracy and legality of any materials or claims provided.
- Maintaining account standing is the client’s responsibility; the Agency is not liable for penalties due to prior violations or external factors.
- Limitation of Liability:
- Performance: While the Agency applies best practices, we do not guarantee specific results due to factors beyond our control (e.g., algorithm changes, audience behavior). The Agency is not responsible for platform downtime, account suspensions, or policy changes that may impact performance.
- Third-Party Platform Risks: The Agency is not responsible for any issues arising from third-party platforms, including but not limited to Algorithm changes, policy updates, or unexpected platform restrictions (e.g., Facebook, Instagram, Google, TikTok). Account suspensions, ad rejections, or downtime on social media and advertising platforms.
- Incidental, or Consequential Damages: The Agency is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of business, revenue, or profits resulting from service performance or platform disruptions. Reputational damage due to unforeseen circumstances such as negative audience reactions or unauthorized third-party actions. Loss of data due to account changes, hacking, or deletion by the client or third-party providers.
- Client Responsibility & Compliance: The Client is responsible for providing accurate and timely information, access credentials, and approvals. The Agency is not liable for project delays or performance issues resulting from late responses, missing approvals, or failure to provide necessary materials.
- Postpones: Postponement or Rescheduling of the project start date is limited to a 30-day grace period. Afterward, a fee of 15% of the total contract amount per 30-day delay will apply.
- Pre-termination: During the effectivity of this contract, should the project be canceled without any prior work done, the Client agrees to pay 15% of the total signed budget. Should the project be canceled with prior work done, the Client agrees to pay 30% of the total signed budget plus all expenses incurred for the actual work done. Items indicated in this table are based on the full contract value and must be paid in FULL regardless if the project is discontinued before the end of the contract.
- Turnover of Assets: Upon completion of the project or termination of services, the Agency will transfer all final deliverables and assets to the Client within 30 days. This includes approved content, design files, ad reports, and other relevant materials.
- File Storage & Retention: The service fee covers file storage while the service is active. After service completion, files will be retained for 60 days. After this period, files will be automatically deleted without prior notice or client consent. The Client is responsible for downloading any files they wish to keep. The Agency is not required to seek permission before deleting files.
- Confidentiality: Both parties agree to keep all proprietary and sensitive information confidential throughout and after the engagement.
- Force Majeure: Neither the Client nor the Agency shall be liable for any default, delay, or lapse occurring due to events beyond their control including riot, strike, theft, ward, or acts of God and/or nature.
- Venue: All legal actions shall exclusively fall under the jurisdiction of Cebu City to the exclusion of other courts
- Acceptance of Terms: Proceeding with payment or confirming the quotation signifies the client's acceptance of these terms.
